1. INTRODUCTION

These Terms and Conditions (“Terms”) govern the use of services and transactions with VEU INTERNATIONAL (“Company”, “we”, “our”, “us”). By placing an order or engaging in business with the Company, the buyer (“Client”, “you”) agrees to be bound by these Terms.

2. NATURE OF BUSINESS

VEU INTERNATIONAL is engaged in the trading, export, and supply of herbal powders, plant extracts, essential oils, and related natural products.

3. ORDERS AND ACCEPTANCE

• All orders are subject to acceptance by the Company.
• The Company reserves the right to accept or reject any order without assigning any reason.
• Orders shall be deemed confirmed only upon receipt of advance payment or as per mutually agreed terms.

4. PRICING AND PAYMENT TERMS

• Prices are subject to change without prior notice due to market fluctuations.
• Payment shall be made via bank transfer (NEFT/RTGS/IMPS/Wire Transfer).
• For international transactions, 100% advance payment or Letter of Credit (if agreed) shall be required.
• All bank charges and applicable taxes shall be borne by the Client.

5. PACKAGING AND DELIVERY

• Packaging shall be as per agreed specifications (e.g., 25 kg bags/drums).
• Delivery timelines are indicative and subject to logistics, customs clearance, and force majeure conditions.
• The Company shall not be liable for delays beyond its control.

6. QUALITY ASSURANCE

• Products are supplied with a Certificate of Analysis (COA), where applicable.
• Due to the natural origin of products, slight variations in color, odor, or composition may occur.
• The Client shall inspect the goods upon receipt and notify any discrepancy within 48 hours.

7. LIMITATION OF LIABILITY

Under no circumstances shall VEU INTERNATIONAL be liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, business interruption, or reputational loss.

8. FORCE MAJEURE

The Company shall not be held responsible for failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, war, government restrictions, pandemics, or transportation disruptions.

9. INTELLECTUAL PROPERTY

All content, documents, and materials shared by the Company remain its intellectual property and may not be reproduced or distributed without prior written consent.

10. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Surat, Gujarat.
